These Terms & Conditions govern the services provided by Logic Flow HQ ("we", "us", "our"). By purchasing, subscribing to, or using our services, you agree to be bound by the terms outlined below.
These Terms apply primarily to business-to-business agreements.
1. Nature of Services
Logic Flow HQ provides digital system setup, automation implementation, and platform-based operational solutions.
All services are provided as a licensed service and managed implementation. No sale of software, source code, or proprietary technology is made.
Access to systems and tools is granted for use only during an active subscription period and in accordance with these Terms.
2. Ownership & Intellectual Property
All systems, automation structures, workflows, configurations, frameworks, templates, and underlying technology remain the exclusive property of Logic Flow HQ and/or its technology partners.
Clients are granted a limited, non-transferable, non-exclusive licence to use the system during an active and fully paid subscription period.
No ownership rights are transferred to the client.
Clients may not copy, resell, redistribute, reverse engineer, or replicate any system architecture or framework provided.
3. Payment Terms
Setup fees and deposits are payable in full before work begins.
Monthly service fees are due on the agreed recurring billing date.
A three (3) day grace period applies for late payments.
If payment is not received within three days of the due date:
Services may be temporarily suspended.
System access may be restricted.
Accounts unpaid for fourteen (14) days may:
Have access permanently removed.
Have hosted data deleted without liability.
Failure to make timely payments constitutes a material breach of these Terms.
4. Deposits & Refunds
All setup fees, deposits, and onboarding payments are non-refundable once work has commenced.
These fees cover:
Labour and consultation
System design and configuration
Platform provisioning
Technical setup and integration
Monthly service fees are non-refundable once a billing period has begun.
Refunds will not be issued for partial use, non-use, or dissatisfaction arising from circumstances outside the agreed scope of work.
5. Cancellations
Clients may cancel ongoing monthly services with thirty (30) days written notice.
Cancellation does not entitle the client to a refund of any fees already paid.
If cancellation occurs mid-project, setup fees and deposits remain non-refundable.
Upon cancellation:
System access will terminate at the end of the notice period.
Hosted assets and configurations may be removed.
6. Scope of Work
Services are limited to the selected package tier and agreed deliverables.
Requests outside the agreed scope may require:
Additional written approval
Additional fees
Revised timelines
Logic Flow HQ is not responsible for delivering services beyond the defined scope unless formally agreed in writing.
7. Client Responsibilities
To ensure smooth delivery, clients agree to:
Provide accurate information and required access credentials
Respond to requests for approval in a timely manner
Ensure supplied materials do not infringe third-party rights
Comply with applicable laws regarding their own data and communications
Delays in providing required information may result in adjusted timelines.
Clients remain responsible for the lawful use of any system implemented.
8. No Guarantees of Results
Logic Flow HQ provides systems, automation tools, and operational support designed to improve workflow efficiency and responsiveness.
We do not guarantee:
Revenue increases
Lead volume
Financial performance
Specific business outcomes
Results depend on market conditions, internal operations, and external factors beyond our control.
9. Limitation of Liability
To the fullest extent permitted by law, Logic Flow HQ shall not be liable for:
Indirect or consequential losses
Loss of profits, revenue, or opportunity
Business interruption
Third-party platform outages or technical failures
Total liability shall not exceed the amount paid by the client in the three (3) months preceding any claim.
Nothing in these Terms excludes liability for death or personal injury caused by negligence where such exclusion would be unlawful.
10. Service Suspension & Termination
We may suspend or terminate services immediately if:
Payments are overdue
The system is misused
These Terms are breached
Access may be restored at our discretion once issues are resolved.
11. Force Majeure
We are not responsible for delay or failure to perform due to circumstances beyond reasonable control, including but not limited to:
Platform outages
Hosting failures
Acts of government
Illness
Natural events
Internet disruptions
12. Governing Law
These Terms & Conditions are governed by the laws of Scotland.
Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.
